1. Scope and Acceptance of the Terms of Use

These terms of use (the “Terms of Use”) are entered into by and between Coda Payments Pte. Ltd., a company established under the laws of Singapore, having its registered address at 21 Tanjong Pagar Road, #03-01/02 Singapore 088444 (“Coda Singapore”) and/or its affiliates and subsidiaries (collectively referred to as "Coda" or “we”), and you and govern your access to and use of this Konami Web Store (the “Web Store”). PLEASE READ THESE TERMS OF USE CAREFULLY.

BY ACCESSING OR USING THE WEB STORE, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS OF USE AND OUR PRIVACY NOTICE/POLICY. IF YOU DO NOT AGREE TO THESE TERMS OF USE OR THE PRIVACY NOTICE/POLICY, YOU MUST NOT ACCESS OR USE THE WEB STORE.

You must not copy, reproduce, distribute, modify, adapt, decompile, disassemble, reverse engineer, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material available on the Web Store, except that your computer and browser may temporarily store, or cache copies of materials being accessed and viewed.

No right, title, or interest in or to the Web Store or any content on the Web Store or acquired through the Web Store is transferred to you. All rights not expressly granted by these Terms of Use are reserved by Coda and its licensors.

 

4. Trademarks

Coda name, Coda logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Coda or its affiliates or licensors. You must not use such marks without the prior written permission of Coda.

KONAMI and all related names, logos, designs and artwork are trademarks and/or copyrights of KONAMI. You must not use such marks without the prior written permission of KONAMI.

 

5. Prohibited Uses

These Terms of Use permit you to use the Web Store for your personal, non-commercial use only.  You agree not to use the Web Store:

  1. In any way that violates any applicable federal, state, local, or international law, guideline, policy or regulation (including, without limitation, any laws regarding the export of data or software, anti-money laundering, or counterterrorism).

  2. To exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.

  3. For any unauthorized commercial purpose or the benefit of any third party.

  4. To impersonate or attempt to impersonate any other person or entity.

  5. To engage in any fraudulent activity.

  6. To engage in any other conduct that restricts or inhibits anyone’s use of the Web Store, or which, as determined by us, may harm Coda, or expose us to liability.

Additionally, you agree not to:

  1. Disguise your physical location, place of residence, or any identifiers, with the purpose of avoiding any geographical restriction or country-specific terms that may apply to you otherwise.

  2. Use the Web Store in any manner that could disable, overburden, damage, or impair the Web Store or interfere with any other party’s use of the Web Store.

  3. Use any robot, spider, or other automatic device, process, or means to access the Web Store for any purpose, including monitoring or copying any material on the Web Store.

  4. Use any manual process to monitor or copy any material on the Web Store or for any other purpose not expressly authorized in these Terms of Use.

  5. Use any device, software, or routine that interferes with the proper working of the Web Store.

  6. Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

  7. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Web Store, the server on which the Web Store is stored, or any server, computer, or database connected to the Web Store.

  8. Attack the Web Store via a denial-of-service attack or a distributed denial-of-service attack.

  9. Conduct any form of capacity, load, or any form of stress testing on any sandbox or live environment of the Web Store.

  10. Access and use the Web Store for the purpose of creating a competitive product of similar nature.

  11. Otherwise attempt to interfere with the proper working of the Web Store. ‌ ‌

You are fully responsible for ensuring that all information and data you provide while using the Web Store, including the products or services provided therein, is accurate, complete, and up-to-date. We will not be liable for any issues, damages, or losses caused by your failure to do so.

We reserve the right to suspend or terminate your access to or disable your use of the Web Store without prior notice to you, if we suspect that your access to or use of the Web Store violates these Terms of Use.

 

6. Confidentiality and Personal Data 

‍We may access, collect, disclose, and/or process your personal data while providing you with the access to the Web Store or products or services offered on the Web Store. You acknowledge, accept, and understand that such access, collection, disclosure, and/or processing shall be in accordance with Coda’ Privacy Notice/ Policy.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODA AND ITS RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS (INCLUDING KONAMI AND ITS AFFILIATES), SERVICE PROVIDERS AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE, YOUR USE OR INABILITY TO USE THE WEB STORE (INCLUDING THE INABILITY TO MAKE A PURCHASE), OR ANY DIGITAL PRODUCTS PURCHASED OR TRANSACTIONS ENTERED INTO VIA THE WEB STORE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CODA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF CODA AND ITS RESPECTIVE EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, LICENSORS (INCLUDING KONAMI AND ITS AFFILIATES), SERVICE PROVIDERS AND REPRESENTATIVES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE OR THE TRANSACTIONS CONTEMPLATED HEREIN, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE, PRODUCT LIABILITY, OR OTHER THEORY), WARRANTY, OR OTHERWISE, EXCEED THE AMOUNT OF PAYMENT THAT YOU HAVE MADE VIA THE WEB STORE FOR THE TRANSACTION GIVING RISE TO THE CLAIM FOR LIABILITY.

NOTWITHSTANDING ANY LAW, RULE OR REGULATION TO THE CONTRARY, YOU AGREE THAT ANY CLAIM YOU MAY HAVE ARISING OUT OF THESE TERMS OF USE MUST BE BROUGHT OR FILED BEFORE THE RELEVANT TRIBUNAL IN THE JURISDICTION WHERE YOU ARE LOCATED WITHIN ONE (1) YEAR AFTER SUCH CLAIM COULD BE FIRST FILED. ANY CLAIMS BROUGHT AFTER SUCH A PERIOD SHALL BE FOREVER BARRED.

 

12. Indemnification

You agree to defend, indemnify, and hold harmless Coda, its affiliates, licensors (including, but not limited to KONAMI), and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use, access to and use of the Web Store and Digital Products, and/or any dispute or issue between you and any third party.

 

13. General 

13.1 User Declarations

All use or access of the Web Store including the transactions relating to the Digital Product on the Web Store is not directed to persons under the age of majority in your country (a “minor”). Subject to specific age restrictions imposed in your country, and unless otherwise set forth in these Terms of Use, permission and consent from a parent or legal guardian is required for minors. By proceeding with access or use of the Web Store, such parent or legal guardian will be deemed to have agreed to these Terms of Use on the minor's behalf and will be responsible for such access or use, including the creation and use of account in the Web Store, purchases or transactions made by the minor, and whether or not the minor was under supervision during such purchase. As such, purchases cannot be cancelled on the grounds that they were made without the permission, consent, and/or supervision of the parent or guardian.

You represent and warrant that you are not located in, or a resident of, any country or territory subject to economic sanctions or trade embargoes imposed by any applicable governmental authority, including, but not limited to, the United Nations, United States, European Union, and any other sanctions regimes. You also confirm that you are not listed on any sanctioned party lists and will comply fully with all relevant export laws, sanctions, and regulations applicable to your use of Web Store and its related products and/or services.

13.2 Governing Law and Jurisdiction

Unless otherwise stated in the Terms and Conditions:

These Terms of Use shall be governed by and construed according to the laws of Singapore without regard to its conflicts-of-law provisions.

We shall endeavour to amicably resolve any disputes that arise out of or in connection with these Terms of Use (including any question regarding its existence, validity or termination), but in the event that such efforts shall fail, such dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (SIAC Rules) for the time being in force, which rules are deemed to be incorporated by reference into this section on Governing Law and Jurisdiction. The seat of arbitration shall be Singapore, and the tribunal shall consist of one (1) arbitrator. All arbitration proceedings shall be in the English language. The decision of the arbitrator shall be final and binding.

13.3 Waiver and Severability

No waiver by Coda of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Coda to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. ‌

13.4  Notices

‍We may make any notices that we may be required by law to make in electronic format (such as but not limited to when you visit the Web Store, via forms or emails, when we post notices or updates to these Terms of Use, or when Coda communicates with you via your email or mobile phone number). You consent to receive communications from us in electronic form and agree that all terms and conditions, notices, rules, disclosures, policies, and other communications from Coda provided electronically to you shall be deemed to satisfy any legal requirement relating to communications in writing and shall be deemed to be given on the date of the electronic communication.

13.5  No endorsement

‍References to goods, services, and/or businesses on the Web Store do not constitute or imply an endorsement, approval or recommendation by Coda. The inclusion of any third-party link does not in any way imply or express affiliation, endorsement, or sponsorship by Coda of any linked site and/or any of its content therein.

13.6  Security

‍We take all reasonable steps to preserve the security of the information that you provide to us. Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst Coda strives to protect all data transmissions over the Internet (including your information) and has adopted substantial measures to mitigate security risks, Coda does not warrant and cannot ensure the absolute security of any information which you transmit to us. As such, any information which you transmit to Coda is transmitted at your own risk.

13.7 Relationship

‍Nothing in these Terms of Use is intended to or creates any type of joint venture, employee-employer, creditor-debtor, escrow, partnership, or any fiduciary relationship between you and Coda.

13.8 Assignment

‍You may not assign any of your rights or obligations under these Terms of Use, or any part of it, to any other party without our prior written approval. Any attempt by you to do so without our prior written approval shall be deemed null and void. We are, however, entitled to assign these Terms of Use and/or any of our obligations, in whole or in part, at any time, to any Coda affiliate or subsidiary or any third party, with or without notice to you.

13.9 Localized terms

‍These Terms of Use were prepared in English. To the extent that any translated localized version of the Terms of Use conflict with the English version, the terms of the English version prevail. 

13.10 Entire agreement

‍These Terms of Use (together with Terms and Conditions and Privacy Notice/Policy incorporated herein by reference) constitute the entire agreement between you and Coda, and supersede and cancel all prior and contemporaneous agreements, claims, representations, and understandings relating to the subject matter of these Terms of Use. No modification or amendment of these Terms of Use will be binding on Coda unless agreed to by Coda, set forth in writing, and published in the same manner as previously binding versions.

 

14. Your Feedback

5. Usos prohibidos

Las presentes Condiciones de uso le permiten utilizar la Tienda web únicamente para su uso personal y no comercial. Usted se compromete a no utilizar la Tienda web:

  1. De ninguna manera que infrinja cualquier ley, directriz, política o normativa federal, estatal, local o internacional aplicable (incluidas, entre otras, las leyes relativas a la exportación de datos o software, la lucha contra el blanqueo de capitales o la lucha contra el terrorismo).

11. Limitación de responsabilidad

EN LA MEDIDA EN QUE LO PERMITA LA LEY APLICABLE, CODA Y SUS RESPECTIVOS EMPLEADOS, DIRECTORES, FUNCIONARIOS, AGENTES, LICENCIANTES (INCLUYENDO A KONAMI Y SUS AFILIADOS), PROVEEDORES DE SERVICIOS Y REPRESENTANTES NO SERÁN RESPONSABLES DE NINGÚN DAÑO INDIRECTO, INCIDENTAL, PUNITIVOS O CONSECUENCIALES QUE SURJAN DE O EN RELACIÓN CON ESTAS CONDICIONES DE USO, EL USO O LA IMPOSIBILIDAD DE USAR LA TIENDA WEB (INCLUIDA LA IMPOSIBILIDAD DE REALIZAR UNA COMPRA), O CUALQUIER PRODUCTO DIGITAL ADQUIRIDO O TRANSACCIÓN REALIZADA A TRAVÉS DE LA TIENDA WEB, YA SEA EN BASE A UNA GARANTÍA, CONTRATO, AGRAVIO (INCLUIDA LA NEGLIGENCIA), ESTATUTO O CUALQUIER OTRA TEORÍA LEGAL, Y YA SEA QUE CODA HAYA SIDO INFORMADA O NO DE LA POSIBILIDAD DE TALES DAÑOS.

EN LA MEDIDA EN QUE LO PERMITA LA LEY APLICABLE, EN NINGÚN CASO LA RESPONSABILIDAD TOTAL DE CODA Y SUS RESPECTIVOS EMPLEADOS, DIRECTORES, FUNCIONARIOS, AGENTES, LICENCIANTES (INCLUYENDO A KONAMI Y SUS AFILIADOS), PROVEEDORES DE SERVICIOS Y REPRESENTANTES QUE SURJAN DE O EN RELACIÓN CON ESTAS CONDICIONES DE USO O LAS TRANSACCIONES CONTEMPLADAS EN EL PRESENTE DOCUMENTO, YA SEA POR CONTRATO, AGRAVIO (INCLUYENDO NEGLIGENCIA, RESPONSABILIDAD DEL PRODUCTO U OTRA TEORÍA), GARANTÍA O DE OTRO TIPO, EXCEDERÁ EL IMPORTE DEL PAGO QUE USTED HAYA REALIZADO A TRAVÉS DE LA TIENDA WEB POR LA TRANSACCIÓN QUE HAYA DADO LUGAR A LA RECLAMACIÓN DE RESPONSABILIDAD.

SIN PERJUICIO DE CUALQUIER LEY, NORMA O REGLAMENTO QUE ESTABLEZCA LO CONTRARIO, USTED ACEPTA QUE CUALQUIER RECLAMACIÓN QUE PUEDA TENER EN RELACIÓN CON ESTAS CONDICIONES DE USO DEBERÁ PRESENTARSE ANTE EL TRIBUNAL COMPETENTE DE LA JURISDICCIÓN EN LA QUE SE ENCUENTRE EN EL PLAZO DE UN (1) AÑO DESDE LA FECHA EN QUE PODRÍA HABER PRESENTADO DICHA RECLAMACIÓN POR PRIMERA VEZ. CUALQUIER RECLAMACIÓN PRESENTADA DESPUÉS DE DICHO PLAZO QUEDARÁ PRESCRITA DE FORMA DEFINITIVA.

 

12. Indemnización

Usted acepta defender, indemnizar y eximir de responsabilidad a Coda, sus filiales, licenciantes (incluido, entre otros, KONAMI), y proveedores de servicios, así como a sus respectivos directivos, directores, empleados, contratistas, agentes, licenciantes, proveedores, sucesores y cesionarios, frente a cualquier reclamación, responsabilidad, daño, sentencia, indemnización, pérdida, coste, gasto o tasa (incluidos los honorarios razonables de abogados) que se deriven o estén relacionados con su incumplimiento de las presentes Condiciones de uso, el acceso y uso de la Tienda web y los Productos digitales, y/o cualquier disputa o problema entre usted y cualquier tercero.

 

13. General 

13.1 Declaraciones del usuario

Todo uso o acceso a la Tienda web, incluidas las transacciones relacionadas con el Producto digital en la Tienda web, no está dirigido a personas menores de edad en su país (un «menor»). Sujeto a las restricciones de edad específicas impuestas en su país, y a menos que se establezca lo contrario en estas Condiciones de uso, se requiere el permiso y el consentimiento de un padre o tutor legal para los menores. Al proceder al acceso o uso de la Tienda web, se considerará que dicho padre, madre o tutor legal ha aceptado las presentes Condiciones de uso en nombre del menor y será responsable de dicho acceso o uso, incluida la creación y el uso de una cuenta en la Tienda web, las compras o transacciones realizadas por el menor y si este estaba o no bajo supervisión durante dicha compra. Por lo tanto, las compras no pueden cancelarse por el hecho de haber sido realizadas sin el permiso, consentimiento y/o supervisión del padre o tutor.

Usted declara y garantiza que no se encuentra en ningún país o territorio sujeto a sanciones económicas o embargos comerciales impuestos por ninguna autoridad gubernamental competente, incluyendo, entre otros, las Naciones Unidas, los Estados Unidos, la Unión Europea y cualquier otro régimen de sanciones. También confirma que no figura en ninguna lista de partes sancionadas y que cumplirá plenamente con todas las leyes, sanciones y reglamentos de exportación pertinentes aplicables a su uso de la Tienda web y sus productos y/o servicios relacionados.

13.2 Legislación aplicable y jurisdicción

Salvo que se indique lo contrario en los Términos y condiciones:

Las presentes Condiciones de uso se regirán e interpretarán de conformidad con las leyes de Singapur, sin tener en cuenta sus disposiciones sobre conflicto de leyes.

Nos esforzaremos por resolver de forma amistosa cualquier controversia que surja de o en relación con estos Términos de uso (incluida cualquier cuestión relativa a su existencia, validez o rescisión), pero en caso de que dichos esfuerzos fracasen, dicha controversia se someterá y se resolverá definitivamente mediante arbitraje administrado por el Centro Internacional de Arbitraje de Singapur («SIAC») de conformidad con el Reglamento de Arbitraje del SIAC (Reglamento del SIAC) vigente en ese momento, cuyo contenido se considera incorporado por referencia a esta sección sobre Legislación aplicable y jurisdicción. La sede del arbitraje será Singapur, y el tribunal estará compuesto por un (1) árbitro. Todos los procedimientos de arbitraje se llevarán a cabo en inglés. La decisión del árbitro será definitiva y vinculante.

13.3 Renuncia y divisibilidad

Ninguna renuncia por parte de Coda a cualquier término o condición establecido en estas Condiciones de uso se considerará una renuncia adicional o continuada a dicho término o condición, ni una renuncia a cualquier otro término o condición, y cualquier incumplimiento por parte de Coda de hacer valer un derecho o disposición en virtud de estas Condiciones de uso no constituirá una renuncia a dicho derecho o disposición.

Si alguna disposición de estas Condiciones de uso fuera considerada inválida, ilegal o inaplicable por cualquier motivo por un tribunal u otra jurisdicción competente, dicha disposición se eliminará o limitará en la medida mínima necesaria para que las restantes disposiciones de las Condiciones de uso sigan siendo plenamente vigentes y efectivas. ‌

13.4  Notificaciones

‍Podemos enviar cualquier aviso que nos exija la ley en formato electrónico (por ejemplo, cuando visite la tienda web, a través de formularios o correos electrónicos, cuando publiquemos avisos o actualizaciones de estas Condiciones de uso, o cuando Coda se comunique con usted a través de su correo electrónico o número de teléfono móvil). 13.6  Seguridad

Aunque Coda se esfuerza por proteger todas las transmisiones de datos a través de Internet (incluida su información) y ha adoptado medidas sustanciales para mitigar los riesgos de seguridad, Coda no garantiza ni puede asegurar la seguridad absoluta de ninguna información que nos transmita. 13.7 Relación

13.8 Cesión

Cualquier intento por su parte de hacerlo sin nuestra previa autorización por escrito se considerará nulo y sin efecto. No obstante, tenemos derecho a ceder las presentes Condiciones de uso y/o cualquiera de nuestras obligaciones, en su totalidad o en parte, en cualquier momento, a cualquier filial o subsidiaria de Coda o a cualquier tercero, con o sin previo aviso.

13.9 Términos localizados

‍Las presentes Condiciones de uso se han redactado en inglés. En caso de conflicto entre cualquier versión traducida y localizada de las Condiciones de uso y la versión en inglés, prevalecerán los términos de la versión en inglés. 

13.10 Acuerdo completo

‍Las presentes Condiciones de uso (junto con Términos y condiciones y /Policy Aviso de privacidad, incorporados aquí como referencia) constituyen el acuerdo completo entre usted y Coda, y sustituyen y anulan todos los acuerdos, reclamaciones, declaraciones y entendimientos anteriores y contemporáneos relacionados con el objeto de las presentes Condiciones de uso. Ninguna modificación o enmienda de estas Condiciones de uso será vinculante para Coda a menos que Coda la acepte, se establezca por escrito y se publique de la misma manera que las versiones vinculantes anteriores.
