BY CLICKING “BUY NOW”, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS OF SALE (THESE “TERMS AND CONDITIONS” OR THESE “TERMS”), IN ADDITION TO THE TERMS OF USE (the “TOU” or “TERMS OF USE”) AND THE PRIVACY NOTICE (collectively the “WEB STORE TERMS”), WHICH ARE HEREBY INCORPORATED HEREIN BY REFERENCE. Unless the context otherwise requires, all capitalized terms used but not defined herein shall have the meanings set forth in the Terms of Use.

YOU ALSO HEREBY ACKNOWLEDGE AND AGREE THE DIGITAL PRODUCTS (THE “WEB STORE”) ARE BEING SOLD TO YOU BY CODA AND THESE TERMS FORM A CONTRACT BETWEEN YOU, ON THE ONE HAND, AND CODA, ON THE OTHER HAND. THESE TERMS AND THE TOU CONTAIN LIMITATIONS OF LIABILITY AND OTHER LEGALLY BINDING CONTRACTUAL TERMS. THESE CLAUSES AFFECT YOUR LEGAL RIGHTS AND REMEDIES, AND YOU SHOULD REVIEW THEM CAREFULLY BEFORE CLICKING “BUY NOW” OR OTHERWISE ACCEPTING THESE TERMS. YOU MAY NOT ORDER OR OBTAIN PRODUCTS OR SERVICES FROM THIS WEB STORE IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT THE OLDER OF (i) AT LEAST 18 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT WITH US, OR (C) ARE PROHIBITED FROM ACCESSING OR USING THIS WEB STORE OR ANY OF THIS WEB STORE'S CONTENTS, PRODUCTS OR SERVICES BY APPLICABLE LAW.

These Terms composed of Part I (General Terms and Conditions) and Part II (Additional Terms and Conditions) are an integral part of the TOU that apply generally to the use of the Web Store. You should also carefully review our Privacy Notice before placing an order through this Web Store.


 

PART I GENERAL TERMS AND CONDITIONS

1. No Monetary Value

You acknowledge and understand that Digital Product has no monetary value and can only be used in the video game (the “Game”) published by Konami Digital Entertainment Co., Ltd. ("KONAMI"), may not be transferred to another person or redeemed for fiat currencies or other things of monetary value, or means of legal tender.

 

2. Sale Conditions

In respect of your purchases, you confirm that: (i) you are purchasing the Digital Product for your own exclusive and personal consumption; (ii) you shall have no right to rent, lease, lend, sell, redistribute or sublicense the Digital Product you acquire on this Web Store; and (iii) you at all times comply with all applicable laws, rules, regulations and terms and restrictions placed by Coda and/or KONAMI in your purchase and use of the Digital Product. 

 

3. KONAMI ID Account

In order to make transactions or access certain reward schemes, promotions, features or services at the Web Store, we may require you to use your KONAMI ID account registered for the Game. By logging in using your KONAMI ID account, you confirm and agree that you have provided Coda with complete and accurate information about yourself for verification purposes, and that you are responsible for maintaining the confidentiality of your KONAMI ID account, its password, and all activities that occur under your KONAMI ID account. In the event of unauthorized access to your KONAMI ID account at the Web Store, you must notify Coda immediately.

Coda reserves the right at its sole discretion to suspend or terminate your access or use of the Web Store using the KONAMI ID  account at any time if:

  1. you attempt to engage in, or indirectly engage in any conduct prohibited under the Web Store Terms;

  2. you breach any clause of the Web Store Terms and, if the breach may be remedied; you fail to do so within thirty (30) days from receiving notice from Coda specifying such breach;

  3. Coda is required to do so by any regulatory authority or law enforcement body;

  4. you have provided us with false or inaccurate information and have failed to provide us with the true or correct information within fifteen (15) days from receiving written notice from Coda requesting such information; or

  5. Coda has determined that the security of your KONAMI ID account has been compromised, or your account has been accessed in an unauthorized manner, and you fail to take action within five (5) days from receiving written notice from Coda specifying the required corrective action.

You are solely responsible for verifying and confirming your KONAMI ID account or any other required information entered during the transaction or when accessing certain reward schemes, promotions, features or services at the Web Store is complete and accurate. By proceeding, you acknowledge that Coda is not liable for errors or refunds due to incorrect KONAMI ID account details or any other information entered by you.

 

4. Product Description and Delivery

‍We take every effort to ensure that the product descriptions on the Web Store are as accurate as possible. However, to the extent permitted by applicable law, we do not warrant that such product descriptions are complete or correct.

We do not develop or publish Digital Products offered on the Web Store. KONAMI is the publisher of Digital Products. Other than complying with our Web Store Terms, your use of any Digital Product is subject to KONAMI’s applicable licence terms. KONAMI is solely responsible for delivery of the Digital Product to you.

 

‍You understand that while you may “purchase” the Digital Product offered on the Web Store, you do not in fact own or have any intellectual property rights in the Digital Product obtained through the Web Store. Rather, you purchase limited rights to access and use the Digital Product for your exclusive personal consumption. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Digital Product.

 

5. Prices and Payment Terms

All prices, discounts, and promotions posted on this Web Store are subject to change without notice. 

To make a purchase on the Web Store, you must have a valid and eligible mobile phone account with one of our partner mobile network operators or a valid payment instrument issued or recognized by our payment partners.

You are solely liable for the use of your selected payment instruments in connection with the purchase on this Web Store, and Coda shall have no liability to you or to any third party for any unauthorized use of your payment instruments.

You represent and warrant that (i) the payment information you provide to us is true, correct, and complete, (ii) you are duly authorized to use the chosen payment instrument for the purchase, (iii) you will pay charges incurred by you at the posted prices, including all applicable taxes, duties, currency exchange fees, data charges, and related charges, if any.‍‍

If you use a bank transfer as a method of payment, any bank details that you provide will be collected directly by our payment partners. Coda does not collect, store, or process your bank account information. For information on how we process other payment data that you may provide in the course of making a purchase, please refer to our Privacy Notice.

We reserve the right to reject or decline any transaction for any reason or set limits on transaction types and/or amounts.

 

6. Disputes and Errors

Disputes: Please contact us if you did not receive the Digital Product, if you believe you have been charged in error or if you have experienced any payment-related issues. 

You must not make any false or misleading statements when submitting your complaint, or during the subsequent investigation of a dispute. We will investigate all disputes that are filed with us and will make reasonable efforts to resolve them. However, the ultimate resolution of such disputes shall be at Coda’ sole discretion.

If you have any inquiries related to KONAMI games or in-game items, please use the inquiry form available within the Game. 

Error handling: As part of or separate from the dispute handling process, we may determine that a mistake has been made. If we determine that you have been incorrectly charged or overcharged, we will credit your account or otherwise arrange for a refund to rectify the mistake. If we conclude that you were not charged when you ought to have been, or that you have been undercharged, we may collect a payment from you to rectify the mistake accordingly.

Refunds: You acknowledge and understand that all purchases successfully made on the Web Store are final and non-cancellable. No returns will be accepted, and no refunds will be issued unless expressly specified otherwise in these Terms and Conditions. In the event that a refund is made to you after dispute and/or error handling investigation, your payment instrument will be credited in accordance with the terms and time frame set by your bank or payment service provider.
 

7. Miscellaneous

Limitation of Liability. WITHOUT LIMITATION OF THE TOU, TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL CODACoda, KONAMI  OR ANY OF ITS PARENTS, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR OTHER REPRESENTATIVES (THE “RELEVANT PARTIES”) BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEB STORE OR THE DIGITAL PRODUCTS, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF ANY RELEVANT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL ANY OF THE RELEVANT PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) HEREUNDER EXCEED THE ACTUAL PRICE PAID BY YOU FOR THE DIGITAL PRODUCT. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Release; Waiver. To the greatest extent permitted by the applicable laws and regulations, you hereby agree to release and hold harmless the Relevant Parties from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Web Store and the Digital Products, whether under a theory of contract, tort (including negligence), warranty or other theory. In no event shall you, and you hereby irrevocably waive, any right to sue the Relevant Parties or to seek or obtain injunctive or other equitable relief in connection with the Web Store and any Digital Product.

Severability. Without limitation of the TOU, if any part, term or provision of these Terms and Conditions is held to be illegal, in conflict with any law or otherwise invalid, the remaining portion or portions shall be considered severable and not be affected by such determination, and the rights and obligations of the parties shall be construed and enforced as if these Terms and Conditions did not contain the particular part, term or provisions held to be illegal or invalid.

 

PART II ADDITIONAL TERMS AND CONDITIONS – COUNTRY-SPECIFIC

SOUTH KOREA
 

1. Scope of Application 

‍If you are residing in or located in South Korea, these provisions ("Korea Provisions") shall govern your purchase of Digital Product in addition to Part I (General Terms and Conditions) above, unless otherwise specified. In the event of any conflict between these Korea Provisions and Part I (General Terms and Conditions) or Web Store Terms, these Korea Provisions shall control to the extent necessary to resolve the conflict.

 

2. Provider of Digital Product

You understand and accept that the Digital Product is being sold to you by Coda Payments Korea Ltd., having its registered address at PO1017, 10F, FASTFIVE Gangnam 5th Branch, 8F-15F, 27 Teheran-ro 2-gil, Gangnam-gu, Seoul, South Korea with Business Registration No. 496-81-02019 (“Coda Korea”), and that the Terms and Conditions are hereby entered into and agreed upon between you and Coda Korea. Coda Korea may be reached by users in South Korea through [SUPPORT PAGE].  

 

3. Immediate Consumption of the Digital Product

Unless otherwise stated, when you purchase the Digital Product, the transaction will be processed instantly due to the nature of digital content. Accordingly, the applicable amount will be immediately deducted from your chosen payment method, and the Digital Product will be credited to you instantly through KONAMI’s respective platforms upon successful completion of your purchase.

By completing your purchase, you consent to the immediate delivery of the Digital Product and acknowledge that refunds, withdrawals, or cancellations may not be available once the Digital Product has been used, redeemed, or consumed. However, this does not prevent you from raising any valid disputes or reporting errors in accordance with the procedures outlined in the section titled “Disputes and Errors” in Part I (General Terms and Conditions).

 

4. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed according to the laws of South Korea without regard to its conflicts-of-law provisions. We shall endeavor to amicably resolve any disputes that arise out of or in connection with these Terms and Conditions (including any question regarding its existence, validity, or termination), but in the event that such efforts shall fail, such disputes may be referred to the court with competent jurisdiction over Coda Korea’s registered address, to the exclusion of all courts in any other venue.

귀하의 구매와 관련하여 귀하는 다음 사항을 확인합니다: (i) 귀하는 본인을 위한 독점적·개인적 소비 목적으로 디지털 제품을 구매합니다; (ii) 본 웹 스토어에서 취득한 디지털 제품을 임대, 대여, 판매, 재배포 또는 재라이선스할 권리가 없음을 확인합니다; 그리고 (iii) 디지털 제품의 구매 및 사용과 관련하여 Coda 및/또는 KONAMI가 적용하는 모든 관련 법률, 규칙, 규정 및 조건 및 제한 사항을 항상 준수할 것을 확인합니다. 

 

3. KONAMI ID 계정

웹 스토어에서 거래를 하거나 특정 보상 제도, 프로모션, 기능 또는 서비스에 접근하기 위해, 게임에 등록된 KONAMI ID 계정 사용이 필요할 수 있습니다. KONAMI ID 계정으로 로그인함으로써 귀하는 본인 확인을 위해 Coda에 완전하고 정확한 정보를 제공했음을 확인하고 동의하며, KONAMI ID 계정, 비밀번호 및 KONAMI ID 계정 하에서 발생하는 모든 활동의 기밀 유지에 대한 책임이 귀하에게 있음을 확인하고 동의합니다. 웹 스토어에서 KONAMI ID 계정에 대한 무단 접근이 발생한 경우, 귀하는 즉시 Coda에 이를 통보해야 합니다.

Coda는 다음의 경우, 단독 재량으로 KONAMI ID 계정을 사용한 웹 스토어 접근 또는 이용을 언제든지 중단하거나 종료할 권리를 보유합니다:

  1. 웹 스토어 약관에서 금지하는 행위를 직접 또는 간접적으로 시도하는 경우;

  5. Coda가 귀하의 KONAMI ID 계정 보안이 침해되었거나 귀하의 계정이 무단 접근되었다고 판단한 경우, 귀하가 Coda로부터 필요한 시정 조치를 명시한 서면 통지를 받은 후 5일 이내에 조치를 취하지 않은 경우.

귀하는 웹 스토어에서 거래 시 또는 특정 보상 제도, 프로모션, 기능 또는 서비스 이용 시 입력한 KONAMI ID 계정 또는 기타 필수 정보가 완전하고 정확한지 확인 및 검증할 전적인 책임이 있습니다. 진행함으로써 귀하는 KONAMI ID 계정 정보 또는 귀하가 입력한 기타 정보의 오류로 인한 오류나 환불에 대해 Coda가 책임을 지지 않음을 인정합니다.
 

4. 제품 설명 및 배송

귀하는 (i) 당사에 제공한 결제 정보가 진실되고 정확하며 완전하며, (ii) 구매를 위해 선택한 결제 수단을 사용할 정당한 권한이 있으며, (iii) 게시된 가격으로 발생한 요금(모든 적용 가능한 세금, 관세, 환전 수수료, 데이터 요금 및 관련 요금 포함)을 지불할 것을 진술하고 보증합니다.‍‍

은행 송금을 결제 수단으로 사용하는 경우, 귀하가 제공하는 모든 은행 정보는 당사의 결제 파트너사가 직접 수집합니다. Coda는 귀하의 은행 계좌 정보를 수집, 저장 또는 처리하지 않습니다. 구매 과정에서 제공할 수 있는 기타 결제 데이터 처리 방식에 대한 정보는 당사의 개인정보 처리방침을 참조하십시오.

당사는 어떠한 이유로든 거래를 거부하거나 거절할 권리를 보유하며, 거래 유형 및/또는 금액에 대한 제한을 설정할 수 있습니다.
 

6. 분쟁 및 오류

분쟁: 디지털 제품을 수령하지 못하셨거나, 오류로 인해 요금이 청구되었다고 생각되시거나, 결제 관련 문제를 경험하신 경우 당사로 문의해 주십시오. 

불만 사항을 제출하거나 분쟁 조사 과정에서 허위 또는 오해의 소지가 있는 진술을 해서는 안 됩니다. 당사는 접수된 모든 분쟁을 조사하고 합리적인 노력을 기울여 해결할 것입니다. 그러나 해당 분쟁의 최종 해결은 Coda의 단독 재량에 따릅니다.

게임 또는 게임 내 디지털 제품 사용과 관련하여 문의사항이나 불만사항이 있을 경우, 게임 내 제공되는 문의 양식을 통해 KONAMI에 문의하시기 바랍니다. 

오류 처리: 분쟁 처리 과정의 일부 또는 별도로, 당사는 오류가 발생했다고 판단할 수 있습니다. 귀하에게 잘못 청구되거나 과다 청구되었다고 판단될 경우, 당사는 귀하의 계정에 크레딧을 부여하거나 기타 방법으로 환불을 처리하여 오류를 시정할 것입니다. 귀하에게 청구되어야 할 금액이 청구되지 않았거나, 과소 청구되었다고 결론 내릴 경우, 당사는 해당 오류를 시정하기 위해 귀하로부터 대금을 징수할 수 있습니다.

환불: 귀하는 웹 스토어에서 성공적으로 완료된 모든 구매가 최종적이며 취소 불가함을 인정하고 이해합니다. 본 약관에 명시적으로 달리 규정된 경우를 제외하고는 반품이 허용되지 않으며 환불이 이루어지지 않습니다. 분쟁 및/또는 오류 처리 조사 후 귀하에게 환불이 이루어지는 경우, 귀하의 결제 수단은 귀하의 은행 또는 결제 서비스 제공자가 정한 조건 및 기간에 따라 환급됩니다.

책임 제한. 본 이용약관의 제한 없이, 법률로 금지되지 않는 한도 내에서, 어떠한 경우에도 Coda, KONAMI 또는 그 모회사, 자회사, 계열사 또는 해당 임원, 이사, 직원 또는 기타 대표자 (이하 "관련 당사자들")은 웹 스토어 또는 디지털 제품의 사용 또는 사용 불능으로 인해 발생하는, 원인이나 책임 이론에 관계없이 발생하는 인적 상해 또는 부수적, 특별, 간접적, 결과적 손해(이익 손실, 데이터 손실, 사업 중단 또는 기타 손해나 손실을 포함하되 이에 국한되지 않음)에 대해 책임을 지지 않습니다. 귀하의 웹 스토어 또는 디지털 제품 사용 또는 사용 불능으로 인해 발생하거나 이와 관련된 경우, 그 원인이 무엇이든, 책임 이론(계약, 불법행위 또는 기타)에 관계없이, 그리고 관련 당사자가 그러한 손해의 가능성에 대해 통지받은 경우에도 마찬가지입니다. 일부 관할권에서는 신체 상해에 대한 책임 제한 또는 부수적 또는 결과적 손해에 대한 책임 제한을 허용하지 않으므로, 본 제한이 귀하에게 적용되지 않을 수 있습니다. 어떠한 경우에도 관련 당사자들이 귀하에게 부담하는 모든 손해에 대한 총 책임(신체 상해와 관련된 경우 적용 가능한 법률에 의해 요구될 수 있는 경우 제외)은 귀하가 디지털 제품에 대해 실제로 지불한 가격을 초과하지 않습니다. 위에서 언급한 구제책이 본질적인 목적을 달성하지 못한 경우에도 위의 제한 사항이 적용됩니다.

면책 및 권리 포기. 귀하는 관련 법률 및 규정이 허용하는 최대 범위 내에서, 웹 스토어 및 디지털 제품과 관련하여 발생하거나 이와 관련된 모든 종류의 청구, 비용, 상해, 손실 또는 손해에 대해 계약, 불법행위(과실 포함), 보증 또는 기타 이론에 근거하든 상관없이 관련 당사자에 대한 모든 책임을 면제하고 배상 책임을 지지 않기로 동의하며, 모든 소송 사유를 포기합니다. 귀하는 어떠한 경우에도 웹 스토어 및 디지털 제품과 관련하여 관련 당사자를 상대로 소송을 제기하거나 금지 명령 또는 기타 형평법상 구제를 청구나 획득할 권리를 가질 수 없으며, 이에 대해 귀하는 본 계약을 통해 해당 권리를 영구적으로 포기합니다.

분리 가능성. 이용약관을 제한하지 아니하고, 본 약관의 일부 조항 또는 규정이 불법이거나 법률과 상충되거나 기타 이유로 무효로 판단되는 경우, 나머지 부분은 분리 가능하며 그러한 판단의 영향을 받지 않습니다. 당사자들의 권리와 의무는 본 약관에 불법 또는 무효로 판단된 특정 부분, 조항 또는 규정이 포함되지 않은 것으로 간주하여 해석 및 집행됩니다.

 

제2부 추가 약관 – 국가별

 

대한민국
 

  1. 적용 범위 

‍귀하가 대한민국에 거주하거나 소재하는 경우, 별도로 명시되지 않는 한 본 규정("한국 규정")은 상기 제1부(일반 약관)에 추가하여 귀하의 디지털 제품 구매에 적용됩니다. 본 한국 규정과 제1부(일반 약관) 또는 웹 스토어 약관 간에 상충되는 경우, 상충을 해결하는 데 필요한 범위 내에서 본 한국 규정이 우선 적용됩니다.

 

  1. 디지털 제품 제공자

귀하는 디지털 제품이 다음의 등록 주소지를 가진 코다페이먼츠코리아(주)("코다 코리아")에 의해 귀하에게 판매됨을 이해하고 동의합니다: 서울특별시 강남구 테헤란로2길 27, FASTFIVE 강남5호점 10층 PO1017, 8층–15층, 사업자등록번호 496-81-02019("코다 코리아")이며, 본 약관은 귀하와 코다 코리아 간에 체결되고 합의된 것임을 인정합니다. 한국 내 사용자는  [SUPPORT PAGE]를 통해 코다 코리아에 문의할 수 있습니다.  


 

  1. 디지털 제품의 즉시 소비

별도로 명시되지 않는 한, 디지털 제품 구매 시 디지털 콘텐츠의 특성상 거래는 즉시 처리됩니다. 이에 따라 해당 금액은 귀하가 선택한 결제 수단에서 즉시 차감되며, 구매가 성공적으로 완료되면 KONAMI의 각 플랫폼을 통해 디지털 품이 즉시 귀하에게 제공됩니다.

구매를 완료함으로써 귀하는 디지털 제품의 즉시 제공에 동의하며, 디지털 제품이 사용, 교환 또는 소비된 후에는 환불, 철회 또는 취소가 불가능할 수 있음을 인정합니다. 다만, 이는 제1부(일반 약관)의 "분쟁 및 오류" 항목에 명시된 절차에 따라 유효한 분쟁 제기 또는 오류 신고를 하는 것을 방해하지 않습니다.
 

  1. 준거법 및 분쟁 해결

본 약관은 법적 충돌에 관한 규정을 배제하고 대한민국 법률에 따라 규율되고 해석됩니다. 당사는 본 약관(본 약관의 존재, 유효성 또는 종료에 관한 모든 질문 포함)으로 인해 또는 이와 관련하여 발생하는 모든 분쟁을 원만히 해결하기 위해 노력할 것이나, 그러한 노력이 실패할 경우, 그러한 분쟁은 다른 모든 법원의 관할권을 배제하고 코다 코리아의 등록 주소에 대한 관할권을 가진 법원에 회부될 수 있습니다.
